409a Compliance on Written Plan
Edison and Upper Saddle River, NJ – February 21, 2008 – The Internal Revenue Service recently issued Notice 2007-78 that provides plan sponsors an extension to December 31, 2008 to maintain compliance with written documentation relative to deferred compensation plans. Written language of a deferred compensation plan must be in compliance with the regulation as of the end of this year. Plans, therefore, have extra time to be modified to comply in the written form, but must continue to be in compliance operationally with Section 409A. Where written plan provisions don’t comply with the regulation, plan sponsors will not violate 409A if:
• The plan operates in compliance with 409A;
• Is amended on or before the December 31, 2008 deadline; and
• Complies with 409A retroactive to January 1, 2007.
What does this mean? Although the IRS has extended the deadline for compliance relative to written plan documentation, the plan itself must already operate under the 409A regulations. Therefore, there is no relief in the manner in which deferrals are made. Some of the key deferral aspects that 409A stipulates and for which compliance should already be in effect are as follows:
• Timing of deferrals. Deferral elections must be made before December 31 for compensation that will be deferred during the following calendar year. For example, compensation that will be deferred during 2008 would have required that the election be made before December 31, 2007. The exception to this election rule includes any “performance-based compensation”.
• Deferral of “performance-based compensation”. Performance-based compensation is any compensation that is contingent on satisfying pre-established performance objectives that cover a period of at least 12 consecutive months. An election to defer performance-based compensation may be made up to 6 months before the end of the period; this does not include amounts that will be paid regardless of performance, or if the amount is based on performance objectives that are certain to be met at the time they were established. Performance objectives are considered “pre-established” if they are documented, in writing, no later than 90 days from the beginning of the period. For example, assuming a short-term incentive plan runs from January 1 through December 31, 2008, with awards based on performance, a participant may elect to defer this form of compensation until June 30, 2008, so long as the objectives were established, in writing, by March 31, 2008, and that the level of performance cannot be currently ascertained.
• Changes to deferral options. A participant may change the form or timing of deferral, so long as: a) the election will not be effective until 12 months after the election is made; b) payments affected by such change are delayed for at least 5 years from the original payment date; and c) elections relative to distributions as of a specified time or on a fixed schedule are made at least 12 months before the scheduled payment date. This provision excludes payments made as a result of the participant’s death or disability.
• Delay in Payments for “Key Employees”. 409A requires that payments under a deferred compensation plan must be delayed 6 months for key employees, as defined by IRC §416(i). A key employee is one that, at any time during the plan year, is:
* an officer having an annual compensation greater than 0,000;
* a 5% owner of the company; or
* a 1% owner of the company having an annual compensation of more than 0,000.
Given that the administrative changes are already underway relative to deferrals, the following questions relative to written documentation should be evaluated and action taken by December 31, 2008 to comply with the transition relief period:
• Are there any aspects of the plan that still conflict with 409A?
• Does the plan’s language comply with the requirements under the regulation?
• Are deferral elections made on a written vehicle that complies with the regulation?
• Are elections for performance-based compensation made appropriately? Are performance objectives pre-established and is the level of performance against these objectives substantially unknown at the time that deferrals can be elected?
• Are changes to deferral options properly documented within the plan?
• Does the plan document reflect the following:
* Is in the form of a written document;
* States a specific formula to calculate deferred compensation;
* Indicates the payment schedule or triggering events;
* Specifies a six-month payout delay for “key employees”;
* Provides specific language regarding acceleration of distributions; and
* Includes a clause regarding substantial risk of forfeiture on deferred amounts?
Compliance with 409A is a key aspect of successful administration of deferred compensation plans, and obviously, avoidance of scrutiny and penalties. A thorough examination of administration of your deferred compensation plans and implementation of changes to maintain compliance of written documentation is essential before the December 31, 2008 deadline. Outside professional advice can provide an objective look at your deferred compensation arrangements, and provide the necessary guidance to move towards full compliance with 409A.

The earth is a living planet where many complex systems run perfectly without stopping at all. When compared to other planets, it is evident that in all its aspects the earth is specially designed for human life. Built on delicate balances, life prevails in every spot of this planet, from the atmosphere to the depths of the earth.
Exploring only a few of the millions of these delicate balances would be sufficient to show that the world we live in is specially designed for us.
One of the most important balances in our planet is revealed in the atmosphere that surrounds us. The atmosphere of the earth holds the most appropriate gasses in the most appropriate ratio needed for the survival not only of human beings, but also of all the living beings on the earth.
The 77% of nitrogen, 21% of oxygen and 1% of carbon dioxide as well as other gasses readily available in the atmosphere represent the ideal figures necessary for the survival of living beings. Oxygen, a gas that is vital for living beings, helps food to be burned and converted into energy in our bodies.
If the oxygen quantity in the atmosphere were greater than 21%, the cells in our body would soon start to suffer great damages. The vegetation and hydrocarbon molecules needed for life would also be destroyed. If this quantity were less, then this would cause difficulties in our respiration, and the food we eat would not be converted into energy. Therefore, the 21% of oxygen in the atmosphere is the most ideal quantity determined for life.
No less than oxygen, other gasses like nitrogen and carbon dioxide are also arranged in the ideal quantity for the needs of living beings and the continuity of life. The amount of nitrogen in the atmosphere has the ideal ratio to balance the harmful and burning effects of oxygen. This ratio represents the most appropriate value required for photosynthesis, which is essential for life’s energy supply on the earth. Moreover, the amount of carbon dioxide has the most appropriate value that is needed to maintain the stability of the surface temperature of the earth and to prevent heat loss especially at night time. This gas, comprising 1% of the atmosphere, covers the earth like a quilt and prevents the loss of heat to space. If this amount were greater, the temperature of the earth would increase excessively, causing climatic instability and posing a serious threat against living beings.
These proportions remain constant thanks to a perfect system. The vegetation covering the earth converts carbon dioxide to oxygen, producing 190 billion tons of oxygen every day. The proportion of other gasses is always kept constant on the earth by the help of interconnected complex systems. Life is thus sustained.
In addition to the establishment of the ideal gas mixture required for life on the earth, the mechanisms needed to preserve and maintain this order are created alongside with it. Any break in the balance, though instantaneous, or any change in the ratios even for a very short time period, would mean the total destruction of life. Yet, this does not happen. The formation of these gasses in the atmosphere just in the amount people need, and the constant preservation of these ratios indicate a planned creation.
At the same time, the earth has the ideal size in terms of magnitude to possess an atmosphere. If the mass of the earth were a little less, then its gravitational force would be insufficient and the atmosphere would be dispersed in space. If its mass were a little greater, then the gravitational force would be too much and the earth would absorb all gasses in the atmosphere. There is an incredibly high number of conditions required for the formation of an atmosphere such as the one our world currently has and all of these conditions should exist altogether to be able to talk of life.
The creation of these delicate proportions and balances in the sky is mentioned in the 7th verse of Surat ar-Rahman:
He erected heaven and established the balance. (Surat ar-Rahman, 7)
The majority of people spend their lives without being aware of the delicate balances and subtle adjustments in the gas composition of the atmosphere, the distance of the world to the sun or the movements of planets. They are ignorant of the great significance of these balances and adjustments to their own lives. However, even a minor deviation in any one of these arrangements would create very severe problems regarding the existence and survival of humankind.
There are many other balances established on earth for the continuity of life:
For instance, if the surface gravity were stronger than its current value, the atmosphere would retain too much ammonia and methane gasses, which would mean the end of life. If it were weaker, the planet’s atmosphere would lose too much water, and life on earth would be impossible.
The thickness of the earth’s crust constitutes another one of the delicate balances in the earth. If the earth’s crust were thicker, too much oxygen would be transferred from the atmosphere to the crust and this would have severe effects on human life.
If the opposite were true, that is, if the earth’s crust were thinner, volcanic and tectonic activity would be too great to permit life on earth.
Another crucial balance for human life is the ozone level in the atmosphere. If it were greater than its current value, the surface temperatures would be too low. If it were less, surface temperatures would be too high, and there would be too much ultraviolet radiation at the surface.
In fact, the absence of even a single of these balances would set the end to life on earth. However, God has created the universe with infinite wisdom and power and designed the earth specially for human life. Despite this fact, the majority of people lead their lives in total ignorance of these events. In the Qur’an, God reminds people of His blessings in the 13th verse of Surat al-Fatir:
(God) makes night merge into day and day merge into night, and He has made the sun and moon subservient, each one running until a specified time. That is God, your Lord. The Kingdom is His. Those you call on besides Him have no power over even the smallest speck. (Surat al-Fatir: 13)
It is sufficient look at millions of dead planets in space in order to understand that the delicate balances required for life on earth is not a result of random coincidences. The conditions essential for life are too complicated to have been formed “on their own” and at random, and these conditions are specially created for life alone.
These balances we have briefly described so far are only a few of the millions of intricate, interrelated balances and orders established so that people can live in peace and safety on the earth.
Examining only a part of the balances and harmony on the earth is enough to comprehend the superior being of God and grasp the existence of a planned creation in every detail of the universe. It is no doubt impossible for a person or any other living being to build such an enormous balance and order. Nor are the components of this order such as atoms, elements, molecules, and gasses capable of establishing an order based on such intricate and extremely delicate calculations and measurements, and such fine tunings. This is because activities like planning, ordering, arranging, calculating, and proportioning can only be realized by beings that possess wisdom, knowledge and power. The Exalted Being Who orders, plans and balances the entire universe to be fit for life of human beings on a planet like earth and Who sustains it with dramatically delicate measures and balances is God, Who has Infinite Wisdom, Knowledge and Power.
In the Qur’an, it is stated that those people who are able to realize these facts are only “people with intelligence”:
In the creation of the heavens and the earth, and the alternation of night and day, there are Signs for people with intelligence: those who remember God, standing, sitting and lying on their sides, and reflect on the creation of the heavens and the earth: ‘Our Lord, You have not created this for nothing. Glory be to You! So safeguard us from the punishment of the Fire. (Surat Al Imran: 190-191)

During his tenor he has taught and certified thousands of special security personal who later on became personal body guards of judges, senators, councilmen and business men. These personal body guards were trained in 24 hour personal security for V.I.Ps and included: neutralizing threats at home, in a vehicle, at an office, or any other public place, with an emphasis on neutralizing an attacker armed with a knife or gun, multiple attackers, kidnapping attempts and more.
1997-2000- Leading instructor at the IDF’s school for krav maga
During his initial 3 year service in the IDF Ran Nakash instructed at the IDF’s Krav Maga school. During these 3 years he worked closely with the IDF’s most elite units and not only trained the soldiers in Krav Maga but trained and certified soldiers to become Krav Maga instructors in their own respective units.
Competition Background:
Since the age of 10 Ran Nakash has been trained in various martial art forms with a specialization in Muay-Thai and classic Boxing.
Some of his accomplishments in the ring are:
1st place Israel’s free style fighting championship
1st place Israel’s full contact karate championship
1st place Israel’s kick boxing championships
1997- When Ran Nakash was just 18 years old he came in first runner up in the world Muay-Thai championships which were held in Thailand

Navigating the UK using Ordnance Survey Maps
Whether you’re an experienced UK walker or simply a weekend enthusiast, it’s vitally important that you equip yourself with a suitable map and compass, and that you familiarise yourself with the route you are planning to follow. This preparation can save your life should the elements conspire against you.
Selecting a map
Choosing the right map is important. Don’t assume any map will do. Too little detail and you may find yourself struggling to spot any recognisable landmarks, too much detail and you may get confused. Popular maps in the UK include the OS Explorer Series and the OS Landranger Series. Both are excellent for walkers -but offer different benefits and drawbacks. These are briefly highlighted at the end of this article.
Understanding Your OS Map
Once you’ve selected the map format of your choice, it’s important to familiarise yourself with your new map. Learn to recognise the various landmarks displayed, and the keys/symbols/legends used on the map – along with their meanings. OS Maps are incredibly detailed and offer a wealth of information to help you along your way.
Also, make sure you know the scale of your map and learn to roughly calculate distances at a glance. This will help you to plan your walk and to quickly alter your route should conditions change.
Map Scale – Understanding Distances
Maps offer us a top down “birds-eye” view of the earth. They are of course scaled down, but still maintain enough information to make them incredibly useful. The most popular scale with walkers in the United Kingdom is the 1:25000, which equates to 1cm on the map equalling 250m in real-life. Others popular scales include the 1:40000 and 1:50000.
When you first plan your journey you must decide on a comfortable walking distance. Be sure to check the weather for the day in question as you’ll probably cover less distance on a very hot day (or in bad weather). Also take into account hills and gradients.
TIP: Lay a piece of string along your route on the map and mark the distance. You can then measure the length of string using the scale which is usually printed on the map. This helps to give you an accurate distance.
Using a Compass
Maps are of little use if you don’t know where you are and in which direction you are walking. In bad weather, low visibility or areas with no distinguishable landmarks, it would be virtually impossible to navigate without a compass.
To use a compass with your OS Map, follow these simple steps:
1)Align the map in the direction you are facing. Make sure the landmarks on the map match what you are seeing ahead of you.
2)Adjust the orientating arrow on the compass to point to North on the map.
3)Using the guidelines on your map, adjust the compass housing to take into differences between grid north and magnetic north.
4)Remove your compass from the map and start walking.
NOTE: It’s important to use common sense to double check that you are walking in the right direction, and that you check your bearings after each turning.

It’s incredibly easy to get lost when out walking. It happens every day in the UK. People never expect that they will find themselves lost, but thousands of people do each year. Preparation is the most important factor to ensure you’re not one of them.
Remember to equip yourself with a waterproof jacket and a fleece (or insulated jacket). It maybe forecast for hot weather but in the UK weather invariably changes in an instance. Also make sure you are wearing suitable footwear. Pack sufficient fluids and food for the journey and don’t forget your map and compass!

OS Explorer Maps are recommended for anyone enjoying outdoor activities, including walking, horse riding and off-road cycling. There are 403 maps in the series and each map provides information essential for the great outdoors, including youth hostels, pubs and visitor information. Rights of way, fences, permitted paths and bridleways are clearly shown, ensuring you have the best information to get the most out of your time in the countryside.
OS Landranger maps are all-purpose maps ideal for planning days out. Each of the 204 maps cover an area 40 km by 40 km (25 miles by 25 miles) which makes them ideal for finding places of interest or planning an outdoor activities. Landranger Maps feature tourist information, camping and caravan sites, picnic areas and viewpoints, selected places of interest and rights of way information for England and Wales.
